Brazil’s Central Bank mandates independent financial audits for crypto service providers

Starting June 1, the Central Bank of Brazil officially tightened licensing requirements for Virtual Asset Service Providers (VASPs), mandating that all cryptocurrency firms applying for or renewing their licenses undergo independent financial audits. The audit scope covers compliance with anti-money laundering (AML) and countering the financing of terrorism (CFT) regulations, segregation of client funds from platform-owned funds, risk management mechanisms, and staff training. Audit firms must be registered with the Brazilian Securities and Exchange Commission (CVM). Previously, Brazil established a regulatory framework for virtual assets through legislation in 2022 and introduced the VASP licensing category in November 2025. This latest regulation further strengthens compliance oversight of the cryptocurrency industry.

BlockFills processed over $60 billion in trading volume in 2025 and served approximately 2,000 institutional clients. Keyrock previously completed its Series C funding round, led by SC Ventures, the investment arm of Standard Chartered Bank, achieving a valuation of $1.1 billion.

Musk's Tweets Clash with IPO Prospectus, SpaceX Information Disclosure Raises Market Concerns

SpaceX officially filed its IPO prospectus last week. However, CEO Elon Musk's recent social media posts detailing the company's computing power leasing agreement with Anthropic have shown clear discrepancies with the prospectus's content. The prospectus states the collaboration will last until 2029, with a monthly rent of $125 million; Musk claims the agreement is merely a 180-day short-term lease, with either party able to terminate the partnership with 90 days' notice. This divergence makes it difficult for investors to assess the company's valuation, and industry experts have raised questions about the standardization of information disclosure. Furthermore, analysts point out that the prospectus is missing several key data points. SpaceX is expected to go public on June 12. The company is currently valued at over one trillion dollars and continues to operate at a loss. (CNBC)

Bitcoin mining firm IREN plans to raise $2 billion and simultaneously activate an options hedging mechanism to mitigate potential equity dilution

Odaily Bitcoin mining and AI computing infrastructure company IREN Limited announced plans to privately issue $2 billion in convertible senior notes due 2033 to qualified institutional investors under Rule 144A, with an option to increase the offering by an additional $300 million. These convertible notes are unsecured senior debt instruments, paying interest semi-annually, maturing on December 1, 2033. Investors can convert the bonds into common stock of the company under specific conditions. The company may settle repayments or conversions in cash, shares, or a combination of cash and shares. According to the terms, IREN can redeem the notes early after June 2030 if certain stock price conditions are met. In the event of a "fundamental change," investors can demand the company repurchase the bonds at par value plus accrued interest.Regarding the use of proceeds, the company will allocate a portion to cover the cost of the "capped call" transactions, with the remainder for general corporate purposes and working capital. This structure is designed to hedge against potential equity dilution from the conversion of the notes. Concurrently, IREN will enter into hedging agreements with financial institutions to mitigate conversion risk through derivatives and stock transactions. This mechanism may not fully offset dilution if the stock price exceeds the set "cap price." Additionally, the hedging counterparties may engage in related transactions during the issuance and life of the notes, which could impact IREN's stock price and the value of the convertible notes.Overall, this financing arrangement enhances the company's capital flexibility while introducing a relatively complex structural hedging mechanism to balance expansion funding needs with equity dilution risk. The funding stems from a revised agreement with Anson Funds, a structured equity financing firm. The company had originally established a $500 million financing facility in June 2025, exclusively for Bitcoin purchases. Less than one year later, it announced abandoning this strategy in favor of betting on the AI sector and plans to rename itself “Talivar Technologies,” pending approval at its shareholders’ meeting scheduled for early July. SpaceX, OpenAI, and Anthropic to Go Public or Raise Over $240 Billion, Potentially Impacting Crypto Market Liquidity

According to CoinDesk, SpaceX is expected to go public in June and could surpass Saudi Aramco’s $29 billion IPO in 2019 to become the largest IPO in history. Meanwhile, OpenAI and Anthropic are also planning to go public in the second half of this year. Collectively, these three companies are projected to raise over $240 billion—potentially marking a pivotal turning point for liquidity in the crypto market. Market analysts believe these mega-IPOs could significantly drain liquidity from risk assets, with the crypto market sitting in the same funding pool. As mainstream crypto assets such as Bitcoin and Ethereum have closely tracked the Nasdaq and U.S. equity risk sentiment in recent years, a large-scale shift of capital toward subscribing to tech giants’ IPOs may weaken buying support for BTC, ETH, and altcoins.
